6. Meeting Volume Guarantee
6.1 The Service Provider guarantees a minimum number of scheduled meetings with validated ICP contacts per Event, as specified in the Order.
6.2 The cost per scheduled meeting shall not exceed €400. Should the number of meetings delivered fall below the guaranteed minimum, the Service Provider shall refund the difference calculated on a per-meeting basis.
Example: If the package price is €4,000 with 10 guaranteed meetings (€400/meeting) and only 8 meetings are delivered, the Client pays €3,200 and receives a €800 refund.

- The Service Provider receives timely Client feedback on the initial contact sample
- The event audience materially matches the agreed ICP
- Preparation commences at least 3 weeks before the Event date
- The Client provides timely access to required materials, tools, and feedback as set out in Section 9
6.4 If during preparation the Service Provider determines that the conference audience does not align with the agreed ICP, the Service Provider shall notify the Client and either: (a) stop the engagement with a full refund, or (b) continue without the meeting guarantee, at the Client's election.
6.5 The guarantee covers scheduled meetings with validated ICP contacts confirmed via multi-channel coordination. It does not cover: closed deals, revenue outcomes, product-market fit, or sales performance.
7. Payment Terms
7.1 Payment is made in two installments: 75% (seventy-five percent) of the total Order value is due in advance prior to the commencement of Services; the remaining 25% (twenty-five percent) is due within 14 (fourteen) calendar days following conclusion of the Event, upon receipt of the final invoice.
7.2 Accepted payment methods shall be communicated to the Client upon Order confirmation.
7.3 Services commence only upon receipt of the initial 75% prepayment.
7.4 Where the guaranteed number of meetings has not been achieved, any applicable refund under Section 6 shall be calculated and processed within 30 (thirty) calendar days following the last day of the Event. The refund shall be applied against the final 25% installment first; any remaining balance shall be returned to the Client within the same 30-day period.
7.5 The Client shall not be entitled to unilateral set-off or deductions from the agreed price except as expressly provided in this Agreement.

- Provide a clearly defined ICP and value proposition before commencement of preparation
- Grant access to LinkedIn profile, event application, and scheduling calendar (Google Calendar or Calendly) as needed for service delivery

- After each meeting, promptly share conversation insights with the assigned support manager
- Pay for the Services in accordance with Section 7

10. Limitation of Liability
10.1 The Service Provider's total liability to the Client under this Agreement shall not exceed the total fees paid by the Client for the specific Order giving rise to the claim.
10.2 The Service Provider shall not be liable for:
- Loss of revenue, lost profits, or indirect/consequential damages of any kind
- The outcome of meetings, including failure to conclude sales or sign contracts
- Actions or omissions of third parties, including conference organizers, lead contacts, or platform providers
- Force majeure events as defined in Section 13
- Failure to meet the guarantee where the conditions of Section 6.3 have not been satisfied
10.3 The Service Provider does not guarantee that all outreach attempts will result in positive responses or scheduled meetings. The guarantee relates solely to the minimum volume of meetings confirmed by ICP-validated contacts.
11. Intellectual Property
11.1 All materials, templates, scripts, outreach sequences, reports, and other deliverables created by the Service Provider in the course of rendering Services remain the intellectual property of the Service Provider unless explicitly agreed otherwise in writing.
11.2 The Client is granted a non-exclusive, non-transferable right to use deliverables provided under this Agreement solely for internal business purposes.
11.3 The Client grants the Service Provider a limited license to use the Client's name, logo, and materials provided by the Client solely for the purpose of delivering the Services.
12. Confidentiality
12.1 Each party agrees to hold in strict confidence all Confidential Information received from the other party and not to disclose it to third parties without prior written consent, except as required by law.
12.2 "Confidential Information" means any non-public business, commercial, financial, technical, or operational information disclosed by one party to the other in connection with this Agreement.
12.3 This obligation survives termination of the Agreement for a period of 2 (two) years.
12.4 The Service Provider may reference the Client as a client (name and logo) for marketing purposes, including publication of case studies, unless the Client objects in writing within 14 (fourteen) calendar days of Order confirmation. If the Client does not object within that period and the Service Provider subsequently publishes a case study, the Client may still request its removal in writing at any time thereafter — and the Service Provider shall remove such content from the Website within 30 (thirty) calendar days of receiving the written request.
13. Personal Data
13.1 In the course of providing Services, the Service Provider may process personal data of the Client's representatives and of third-party contacts (leads) identified during outreach.
13.2 Both parties agree to process personal data in compliance with applicable data protection legislation, including the General Data Protection Regulation (GDPR) where applicable.
13.3 The Client warrants that any personal data provided to the Service Provider in connection with the Services has been collected in compliance with applicable law and that the Service Provider is authorized to process such data for the purposes of this Agreement.
13.4 The Service Provider shall implement appropriate technical and organizational measures to protect personal data against unauthorized access, loss, or destruction.
14. Right to Refuse or Discontinue Service
14.1 The Service Provider reserves the right to decline or discontinue the provision of Services, with a full refund of all fees paid, in the following circumstances:
- The Event is assessed by the Service Provider as too small or insufficiently targeted to deliver a meaningful result (e.g., expected audience is below a viable threshold for ICP outreach)
- The Client fails to provide materials, access, or information required for service delivery within a reasonable time, and such failure makes it impractical to commence or continue Services
- During preparation, it becomes evident that the conference audience does not match the agreed ICP and the Client elects not to continue without the meeting guarantee (see also Section 6.4)
- Any other circumstance arises that, in the Service Provider's reasonable judgment, would prevent delivery of the Services to an acceptable professional standard
14.2 In such cases, the Service Provider shall notify the Client in writing as soon as reasonably practicable. A full refund of all fees paid shall be processed within 14 (fourteen) calendar days of such notice.
14.3 The Service Provider's right to refuse under this Section does not constitute a breach of this Agreement.
15. Force Majeure
15.1 Neither party shall be liable for failure or delay in performance resulting from circumstances beyond their reasonable control, including but not limited to: natural disasters, war, pandemics, governmental restrictions, platform outages, or conference cancellations.
15.2 The affected party shall notify the other in writing within 5 business days of the onset of the force majeure event.
15.3 If force majeure persists for more than 30 days, either party may terminate the Agreement upon written notice, with refund of prepaid fees proportionate to the Services not yet rendered.
16. Term and Termination
16.1 This Agreement comes into force upon acceptance and remains effective until full performance of obligations under the relevant Order, unless terminated earlier.
16.2 The Client may cancel the Order with a full refund no later than 14 (fourteen) calendar days prior to the agreed preparation start date, provided that no material work has commenced.
16.3 Cancellations made less than 14 days before preparation commencement are non-refundable, except where the Service Provider is in material breach.
16.4 The Service Provider may terminate this Agreement with immediate effect if the Client: (a) fails to provide required materials or access, substantially preventing service delivery; (b) engages in conduct that is unlawful or damaging to the Service Provider's reputation; or (c) fails to make payment when due.
16.5 Termination under clause 16.4(a) or 16.4(c) does not entitle the Client to a refund of fees already paid.
17. Dispute Resolution and Governing Law
17.1 The parties shall attempt to resolve any dispute arising from this Agreement amicably through good-faith negotiations within 30 days of a written notice of dispute.
17.2 If the dispute is not resolved amicably, it shall be submitted to the competent court at the location of the Service Provider's registered office, unless otherwise required by mandatory law.
17.3 This Agreement shall be governed by and construed in accordance with the laws of Gibraltar.
18. Amendments to this Agreement
18.1 The Service Provider reserves the right to amend this Agreement unilaterally. Amendments take effect 10 (ten) days after publication on the Website.
18.2 Continued use of the Services after the effective date of amendments constitutes acceptance of the revised Agreement.
18.3 The version of the Agreement applicable to an existing Order is the version in force at the time of Order acceptance, unless the Client expressly consents to a newer version.
19. Miscellaneous
19.1 This Agreement, together with the relevant Order and any annexes, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations, representations, or agreements.
19.2 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
19.3 No waiver of any right under this Agreement shall be effective unless in writing.
19.4 The parties are independent contractors. Nothing in this Agreement creates a partnership, employment, or agency relationship.
